The fourth quarter is when your benefits calendar becomes crowded. Open enrollment is underway, new hires are being onboarded, plan years are renewing, and Form 5500 season and the calendar-year wrap-up are ahead.

Before you close out 2026, check one document that is often missing from an otherwise complete benefits file: the ERISA Summary Plan Description (SPD).

Your health insurance carrier’s booklet, Certificate of Coverage, or Summary of Benefits and Coverage (SBC) may explain the coverage. However, those materials generally do not satisfy the employer’s ERISA Summary Plan Description requirement by themselves. A Wrap SPD is the document that closes that gap.

The year-end question: Do you have an ERISA Wrap SPD?

If you provide group health insurance, you may already have several detailed documents on file:

  • A carrier Certificate of Coverage
  • An insurance booklet
  • A Summary of Benefits and Coverage
  • Open enrollment materials
  • New-hire benefit information
  • Premium and eligibility records

Those documents are important, but they do not necessarily create a complete ERISA plan document and Summary Plan Description.

The Wrap SPD supplements your existing carrier documents with the plan-level information ERISA requires. It brings the pieces together so you can provide participants with a more complete explanation of the plan, its administration, and their rights.

Year-end is a practical time to address this because your benefits information is already under review. If you wait until the first quarter, you may be trying to complete the document while handling renewals, Form 5500 preparation, new hires, employee questions, and other administrative deadlines.

Why the carrier booklet is not enough

A carrier Certificate of Coverage or insurance booklet primarily describes the insurance policy. It does not necessarily identify the employer-sponsored plan or provide all of the disclosures required for an ERISA Summary Plan Description.

In particular, the carrier booklet may lack:

  • The Plan Sponsor’s name and Employer Identification Number (EIN)
  • The identity of the designated Plan Administrator
  • A formal ERISA Statement of Rights
  • ERISA-format claims and appeals procedures
  • The Plan Year and funding method
  • Amendment and termination procedures

This distinction matters because the carrier explains the insured benefits, while the employer-sponsored plan must also explain how the plan is established, administered, funded, amended, and terminated.

A Wrap SPD is designed to sit around your existing carrier certificates. It incorporates the benefit descriptions by reference and adds the mandatory ERISA language and plan-level information. Together, the Wrap SPD and the carrier materials provide a more complete plan description.

The $110-per-day exposure you do not want to discover in January

Under ERISA Section 502(c)(1), the penalty can be up to $110 per day, per participant, if a written request for an SPD is not answered within 30 days.

DOL inflation-adjusted figures have reached as high as $184 per day in some enforcement actions. The amount and application can depend on the circumstances, but the basic compliance lesson is straightforward: failing to provide required plan documents after a written request can create daily exposure.

Consider the example:

  • 50 employees
  • 100 days late
  • $110 per day per participant

That equals $550,000 in potential exposure.

This is why an incomplete document file can become a serious year-end risk. You may not notice the gap during routine enrollment. The issue can surface later when an employee, participant, beneficiary, or representative requests the formal SPD and you cannot provide a complete document within the required 30-day response period.

The practical goal is to keep that penalty clock from ever starting. Having the Wrap SPD drafted, adopted, and organized during the current plan year gives you a stronger process before a written request arrives.

What the Wrap SPD does

The Wrap SPD is not a replacement for your carrier’s benefit booklet. It works with those existing materials.

A properly structured Wrap SPD can:

  1. Identify the Plan Sponsor and EIN.
  2. Identify the designated Plan Administrator.
  3. Explain the Plan Year and funding method.
  4. Add the ERISA Statement of Rights.
  5. Provide ERISA-format claims and appeals information.
  6. Describe amendment and termination procedures.
  7. Incorporate medical, dental, vision, and life benefit descriptions by reference.
  8. Organize multiple benefit offerings under one ERISA plan structure.

This approach can also simplify reporting. By bundling medical, dental, vision, and life benefits into a single ERISA plan, you may be able to simplify reporting, such as filing a single Form 5500.

The Wrap SPD should be kept current when benefit options or plan information changes. Your carrier documents still matter, and the Wrap SPD should be maintained alongside them as part of your benefits documentation.

Why the fourth quarter is the right time to act

A year-end compliance review does not need to be complicated. Start with a focused document check.

1. Review what you currently distribute

Look at the documents employees receive during open enrollment and onboarding. If the list includes only a carrier booklet, Certificate of Coverage, SBC, or benefit summaries, determine whether a separate ERISA Wrap SPD is also in place.

2. Confirm plan-level information

Check whether your current documents identify:

  • The Plan Sponsor and EIN
  • The Plan Administrator
  • The Plan Year
  • The funding method
  • Claims and appeals procedures
  • ERISA rights
  • Amendment and termination procedures

If those items are missing, the carrier booklet alone may not close the compliance gap.

3. Identify every benefit you sponsor

List your medical, dental, vision, and life offerings. A Wrap SPD can organize these benefits into a single ERISA plan structure, rather than leaving you to manage separate, disconnected documents.

4. Adopt and organize the Wrap SPD

The document should be drafted for your plan information, adopted for the current plan year, and stored where you can retrieve it promptly. Your HR team should know where the document is located and how to respond if someone makes a written request.

5. Add it to your onboarding and open enrollment process

New hires and existing employees should receive the materials that apply to their benefits. Adding the Wrap SPD to your year-end checklist helps prevent it from being overlooked when enrollment and onboarding activity increases.

A small-business scenario

Imagine that you are closing out 2026 with a group health plan, several new hires, and an upcoming renewal. Your HR file contains the carrier booklet and SBC, but no document identifies the Plan Sponsor’s EIN, the designated Plan Administrator, the formal ERISA rights statement, or the plan’s amendment and termination procedures.

During the year-end rush, the missing document may not seem urgent. But if a written SPD request arrives later, your team may not have a complete response ready. The 30-day response period then becomes critical.

Addressing the Wrap SPD now gives you a defined document to maintain and furnish with the applicable carrier materials. It also gives you a cleaner starting point for the next plan year.

Do not let the year close with the gap still open

The end of 2026 is a useful deadline for reviewing your ERISA documentation. Open enrollment and renewals bring your plan information to the surface, making this the right moment to confirm whether your carrier materials are supported by a complete Wrap SPD.
